Domestic Securities Firm

a. application requirements

A domestic securities firm must obtain the "Business Qualification Permit for Foreign Currency Denominated Stock" (hereafter referred to as <<B Share Business Permit>>) issued by China Securities Regulatory Commission(CSRC) before it is eligible to apply for a B share seat. The application procedures are as follows:

securities business permit issued by CSRC;
<<Foreign Exchange Business Permit>> issued by the State Administration of Foreign Exchange Control;
adequate technical means such as telecommunication facilities, business place, equipment to ensure the implementation of foreign business;
more than five professionals qualified for foreign business;
adhere to the state laws and regulations without any penalties imposed for being revoked of business qualification license within the last two years;
securities business must be separated from other business and accounts are managed separately;
other qualifications required by CSRC.

b. application procedures

The applicant requests an application form of <<B Share Business Permit>> from the institution department of CSRC;

When completed, the application form, along with other documents, must be submitted to the institution department;
When requesting the institution department for the <<B Share Business Permit>>, the applicant must submit the following documents:

<<The Application Form of B Share Business Permit>> printed by CSRC;
<<Duplicated Copy of Securities Business Permit>> issued by CSRC and <<Duplicated Copy of Foreign Exchange Business Permit>> issued by The State Administration of Foreign Exchange Control;
<<Duplicated Copy of Enterprise Legal Person Business License>> issued by the administration of industrial and commercial management;
company constitution approved by CSRC;
<<Qualification Certificates for Securities Industry>> or CV and professional certificates of legal person, primary responsible person and main business executives;
statement of company's business performance in the last two years;
other documents required by CSRC

c. When obtaining the <<B Share Business Permit>>, the applicant is eligible to apply to this Exchange for a B share trading seat.

d. When applying for a B share seat, the applicant is required to submit the following documents:

letter of application for a B share seat(affixed with the company's seal);
<Duplicated Copy of Foreign Exchange Business Permit>> issued by the State Administration of Foreign Exchange Control;
<<Duplicated Copy of B Share Business Permit>> issued by CSRC;
CV of responsible person and executives for B share business;
The latest statement of foreign currency business audited by a certified accountant.

e. When applying for a B share seat, the applicant is required to apply to China Securities Depository and Clearing Corporation Limited (CSDCC) for clearing membership.

f. After receiving the confirmation from this Exchange, the applicant is eligible to start with trading procedures.

Overseas Securities Firm

a. application requirements

An overseas securities firm must obtain <<B Share Business Permit>> issued by CSRC before applying for a B share special seat. The application requirements are as follows:

eligible to deal in brokerage securities business under the local law;
effectively supervised by the local regulatory body;
net asset equivalent to over RMB50 million or able to provide an affidavit pursurant to the local law which is guaranteed by an institution with a corresponding affidavit recognized by CSRC;
experience in international securities business over the past two years;
financial performance of the last two years conforms to the risk control requirements of the local regulatory body;
widespread business network;
executive directors and other senior management staff must have been involved in the securities industry for 5 years with well-established career credit;
receive no penalty from the local securities regulatory body because of serious offences of the relevant legal regulations in the past two years;
observe laws and legal regulations of the People's Republic of China;
more than two professionals must be familiar with China' securities market, relevant policies and laws;
other documents required by CSRC.

b. application procedures

Applicant must sign an agency agreement with a qualified domestic B share broker first;

Applicant requests an <<Application Form of B Share Business Permit to Overseas Securities Firm>> from the institution department of CSRC:

When completed, the application form, along with other documents, must be submitted to the institution department;
When requesting the institution department for the <<B Share Business Permit>>, the applicant must submit the following documents:
  << Application Form of B Share Business Permit>> printed by CSRC;
  business permit issued by the local securities regulatory body;
  company's institution;
  education background, industry qualification certificate and other relevant certificates of senior management staff and major executives;
  capital statement audited by a certified accountant;
  a financial statement of the previous two years audited by a certified accountant;
  statement of underwriting business in the past two years;
  statement of participation in the Chinese securities business in the past years;
  other documents required by CSRC.
CSRC may require a overseas securities firm to provide a relevant certification statement issued by its regulatory body when it sees necessary.
Having obtained the <<B Share Business Permit>> issued by CSRC, the applicant is eligible to apply for a B share special seat to the membership department of this Exchange.
When applying for a B share special seat, the applicant must submit the following documents:
  application for a B share special seat;
  <<B Share Business Permit (duplicate)>> issued by CSRC;
  <<Business License (duplicate)>> issued by the applicant's regulatory body;
  agency agreement with a domestic Chinese B share broker;
  an latest audited financial statement;
  CV of responsible person and executives in charge of overseas business;
  company profile.
When applying for a B share special seat, the applicant is required to apply for clearing membership to CSDCC.
After receiving the letter of approval from the Exchange, the applicant is eligible to start with trading procedures.
